1. Introduction

These Terms and Conditions govern your use of all software products developed and distributed by DataSoft Corporation (“DataSoft”, “we”, “us”), including but not limited to any application, utility, or tool available for download or purchase through dscorp.com.

By downloading, installing, activating, or using any DataSoft software product, you confirm that you have read, understood, and agreed to these terms in full. If you do not agree, you must not install or use the software and should contact us to arrange a refund within the applicable refund window.

2. Definitions

Software refers to any DataSoft application, utility, or tool purchased or downloaded by you, including all modules, components, updates, and accompanying documentation.

DataSoft refers to DataSoft Corporation, a company incorporated in the State of Florida, USA, with its principal place of business in Fort Lauderdale, Florida.

License Key refers to the unique activation code issued to you upon purchase that authorizes the Software to run on a permitted Workstation.

Subscription refers to a time-limited right to use the Software and receive updates, tied to a recurring annual payment.

Workstation refers to a single physical or virtual computer on which the Software is installed and activated.

You / User refers to the individual or organization that has purchased and activated a valid license for the Software.

3. Acceptance of Terms

By installing the Software on any Workstation, you are indicating your acceptance of these Terms and Conditions. If you are installing on behalf of an organization, you confirm that you have the authority to bind that organization to these terms.

These terms are available for review at dscorp.com before installation. If you do not agree to these terms, you must not install or use the Software.

4. License Grant and Restrictions

Subject to payment of the applicable subscription fees and your ongoing compliance with these terms, DataSoft grants you a non-exclusive, non-transferable, limited license to install and use the Software on the Workstations covered by your active subscription.

You must not:

  • Distribute, sublicense, sell, rent, lend, or transfer the Software or any License Key to any third party.
  • Reverse-engineer, decompile, or disassemble the Software beyond what is expressly permitted by applicable law.
  • Remove or alter any copyright notices, license text, or branding within the Software.
  • Use the Software to develop a competing product or service.
  • Share a License Key across more Workstations than your subscription permits.

5. Workstation Licensing

Each Workstation on which the Software is installed and used requires its own active subscription and License Key. Licensing is per Workstation, not per user. A single License Key may not be shared between or transferred to multiple Workstations.

If you need to move a license to a replacement Workstation due to a hardware change or retirement, please contact DataSoft support. Transfers are permitted at DataSoft's discretion and are subject to the deactivation of the original Workstation.

To run the Software on additional Workstations, additional subscriptions must be purchased. Volume pricing may be available; contact DataSoft for details.

6. Subscription, Payment, and Renewal

All DataSoft software products are offered on an annual subscription basis. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

Payments are processed through third-party payment providers. DataSoft does not store credit card or payment details on its servers. You are responsible for keeping your payment information current. Failure to renew on the due date may result in the Software becoming inactive until payment is received.

Pricing at renewal is the standard rate in effect at that time. Promotional or introductory pricing applies only to the initial purchase period.

7. Refund Policy

DataSoft offers a 30-day money-back guarantee on your first purchase of any Software product. To request a refund, contact DataSoft support within 30 days of your original purchase date. Refunds are processed through the original payment method.

Refunds are not available on renewal payments, on additional Workstation licenses purchased after the initial evaluation period, or after the 30-day window has closed.

8. Permitted Use and User Responsibilities

DataSoft software is designed to work alongside third-party applications, databases, and accounting systems. You are solely responsible for ensuring that your use of DataSoft software complies with the terms and licensing conditions of any third-party software or data source it connects to.

You are responsible for maintaining adequate backups of your own data. DataSoft is not liable for data loss arising from hardware failure, user error, software conflicts, or any cause outside DataSoft's direct control.

You must not use the Software to access, read, or manipulate data for which you do not have lawful authorization.

9. Data, Privacy, and Third-Party Connectivity

DataSoft software operates on your local network or machine. Your business data is not transmitted to DataSoft servers in the course of normal operation.

The Software includes a license verification mechanism that contacts DataSoft's servers periodically to confirm your subscription status. This check transmits only the License Key and a Workstation identifier. No business or personal data is included in this communication.

Where the Software connects to third-party services, databases, or APIs, those connections are configured by you and are governed by the respective third party's terms and privacy policies. DataSoft is not responsible for the availability, security, or conduct of any third-party service.

DataSoft's handling of any personal information collected through dscorp.com or the license system is described in the DataSoft Privacy Policy, available at dscorp.com.

10. Intellectual Property

All DataSoft software products, including source code, compiled binaries, user interface designs, documentation, and branding, are the exclusive intellectual property of DataSoft Corporation. Nothing in these terms transfers any ownership of the Software to you.

Output, reports, or documents you produce using the Software using your own data remain your property. DataSoft claims no ownership over content you generate through use of the Software.

11. Disclaimer of Warranties

The Software is provided “as is” and “as available”. DataSoft makes no warranty, express or implied, that the Software will be error-free, uninterrupted, or suitable for any purpose beyond what is described in the product documentation. Compatibility with specific versions of third-party software or operating systems is not guaranteed and may require updates over time.

12. Limitation of Liability

To the maximum extent permitted by applicable law, DataSoft's total liability to you for any claim arising from your use of the Software shall not exceed the total subscription fees paid by you for that Software product in the twelve months immediately preceding the claim.

DataSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if DataSoft has been advised of the possibility of such damages.

Nothing in these terms limits DataSoft's liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

13. Updates and Support

Active subscribers receive software updates and access to technical support through dscorp.com for the duration of their subscription. DataSoft reserves the right to add, change, or discontinue features with reasonable notice.

Support covers the DataSoft software product itself. DataSoft does not provide support for third-party software, operating systems, or databases, though we will make reasonable efforts to help diagnose compatibility issues where possible.

14. Termination

DataSoft may suspend or terminate your license immediately if you materially breach these terms, including but not limited to sharing License Keys, exceeding permitted Workstation counts, or using the Software in an unauthorized manner. Upon termination, you must uninstall the Software from all Workstations and destroy any copies in your possession.

You may cancel your subscription at any time through dscorp.com. Cancellation takes effect at the end of the current paid billing period. No partial refunds are issued for unused time within a billing period.

15. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Florida, USA. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts located in Broward County, Florida.

16. Modifications to These Terms

DataSoft reserves the right to update these terms at any time. Where changes are material, active subscribers will be notified by email or within the Software at least 14 days before the changes take effect. Continued use of the Software after the effective date constitutes acceptance of the updated terms.
